Software Use License

CheckOP - SaaS Field Operations Management Platform

1. Introduction

This Software Use License document (hereinafter, "License") sets forth the terms and conditions under which Progresus S.A.S. (hereinafter, "Progresus", "Licensor", "we", "us" or "our") grants the customer (hereinafter, "Licensee", "Customer" or "you") the right to use the CheckOP platform.

CheckOP is offered as a Software as a Service (SaaS) solution, which means that the software is not installed locally on the Customer's computers, but is accessed via the Internet.

This License is an integral part of CheckOP's Terms and Conditions of Service.


2. Definitions

"Software": the CheckOP platform, including the web application available at https://app.checkop.co, the Android mobile application, the application programming interfaces (APIs), and all related components, updates, upgrades, enhancements and documentation.

"Service": the access and use of the Software provided under the SaaS model according to the contracted subscription.

"Authorized User": Any person Licensee has authorized to access and use the Software, including employees, contractors and agents.

"Documentation": The manuals, user guides, tutorials and help materials available at knowledge.checkop.co and support.checkop.co.


3. License Grant

3.1 License Granted

Subject to compliance with the terms of this License and payment of the applicable fees, Progresus grants Licensee a license:

  • Non-Exclusive: Progresus may grant similar licenses to other customers.
  • Non-transferable: Licensee may not transfer the license to third parties.
  • Limited: Restric ted to the uses expressly permitted.
  • Revocable: May be revoked for breach of terms.

3.2 Scope of the License

The License permits Licensee and its Authorized Users to:

  • Access the Software through the channels provided (web, mobile application, API).
  • Use the functionalities of the Software to manage field operations
  • Store and process data according to the functionalities of the Software
  • Configure the Software within the available customization options
  • Access Documentation for internal use

3.3 Number of Users

The number of Licensed Users is limited according to the contracted subscription plan:

  • Licensed Operational Users: Maximum number according to the purchased licenses.
  • Standard Users: No limit, for consultation and administration roles.

The Licensee is responsible for ensuring that the number of users does not exceed the contracted limit.


4. Restrictions on Use

4.1 Express Prohibitions

Licensee may NOT, and shall not permit third parties to:

With respect to the Software:

  • Copy, modify, adapt, translate or create derivative works of the Software.
  • Disassemble, decompile, reverse engineer or otherwise attempt to obtain the source code
  • Sublicense, rent, lease, lend, loan or transfer access to the Software
  • remove, alter or obscure any proprietary notices, marks or labels on the Software
  • Circumvent, disable or interfere with security or protection measures.

Regarding Use:

  • Use the Software for illegal or unauthorized purposes.
  • Allowing access to unauthorized persons
  • Share access credentials among multiple users
  • Using the Software in a manner that exceeds reasonable limits of use
  • Use the Software to develop competing products or services.

With Respect to Third Parties:

  • Providing access to the Software to third parties who are not Authorized Users
  • Using the Software to process data of unauthorized third parties
  • Use the Software to infringe third party intellectual property rights.

4.2 Acceptable Use

Use of the Software is further subject to CheckOP's Acceptable Use Policy, the terms of which are incorporated by reference into this License.


5. Intellectual Property

5.1 Ownership of the Software

The Software, including all its components, source code, design, architecture, algorithms, interfaces, graphics, and any other element, is and will remain the exclusive property of Progresus S.A.S.

This License does not transfer to Licensee any ownership rights in the Software. Licensee only receives a limited right of use according to the terms set forth herein.

5.2 Reserved Rights

Progresus reserves all rights not expressly granted in this License, including but not limited to:

  • Copyrights and copyrights
  • Patents and patent applications
  • Trademarks and trade names
  • Trade secrets and know-how
  • Any other intellectual or industrial property rights

5.3 Developments and Enhancements

Any development, improvement, customization or modification of the Software made by Progresus:

  • Belongs exclusively to Progresus
  • Is automatically incorporated into the property rights of Progresus
  • May be used by Progresus for any purpose, including serving other customers.

5.4 Ownership of Customer Data

Licensee retains all rights to the data it enters, uploads or generates in the Software. This License does not grant Progresus any ownership rights in such data beyond what is necessary to provide the Service.

5.5 Feedback and Suggestions

If Licensee provides feedback, suggestions or ideas about the Software, Progresus may freely use them to improve the Software without obligation for compensation or attribution.


6. Updates and Modifications

6.1 Updates to the Software

Progresus may update, improve or modify the Software at any time to:

  • Fix bugs and vulnerabilities
  • Improve performance and functionality
  • Add new features
  • Comply with legal or regulatory requirements

6.2 Access to Updates

As an active Subscriber, Licensee is entitled to:

  • All updates and upgrades released during the subscription period.
  • Security updates and corrective patches
  • Performance and user experience optimizations
  • At no additional cost while the subscription is active

6.3 Changes in Functionality

Progresus reserves the right to:

  • Modify, discontinue or remove functionalities of the Software.
  • Notify customers of significant changes with reasonable advance notice
  • Offer alternatives when feasible

6.4 Software Version

Implementation is performed on the version of CheckOP available at the time the service is initiated. Licensee shall use the current version of the Software as updated by Progresus.


7. Support and Documentation

7.1 Documentation

The Licensee has access to:

  • Knowledge Base at conocimiento.checkop.co.
  • User guides and tutorials
  • API documentation (where applicable)
  • Training materials

7.2 Technical Support

Technical support is provided under the terms of the Service Level Agreement (SLA) and is available through:

  • Support Portal: support.checkop.co

7.3 Training

Initial training is provided as part of the implementation service. Additional training may be available by separate quotation.


8. Limited Warranties

8.1 Performance Warranty

Progresus warrants that the Software will perform substantially in accordance with the Documentation during the current subscription period.

8.2 Exclusions

The warranty does NOT cover defects or problems caused by:

  • Use of the Software in an unauthorized manner or contrary to the Documentation.
  • Modifications or alterations not carried out by Progresus
  • Problems in Licensee's equipment, software or connectivity.
  • Causes beyond the reasonable control of Progresus.

8.3 Exclusive Remedy

Licensee's exclusive remedy for a breach of the performance warranty shall be for Progresus, at its option:

  • Correct the reported defect or error, or.
  • Provide a reasonable alternative remedy

8.4 Exclusion of Other Warranties

EXCEPT FOR THE WARRANTY EXPRESSLY STATED, THE SOFTWARE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. PROGRESUS MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.


9. Limitation of Liability

9.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROGRESUS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue or anticipated savings.
  • Loss of data or information
  • Business interruption
  • Costs of procurement of substitute services

9.2 Limit of Liability

Progresus' total aggregate liability under this License shall not exceed the total amount paid by Licensee during the twelve (12) months prior to the event giving rise to the claim.

9.3 Basis of Limitations

The foregoing limitations apply regardless of the legal theory under which liability is sought, and even if Progresus has been advised of the possibility of such damages.


10. Term and Termination

10.1 Term

This License becomes effective upon Licensee's acceptance of the subscription terms and remains in effect as long as Licensee maintains an active subscription.

10.2 Termination by Licensee

Licensee may terminate this License at any time by canceling its subscription under the terms of the Billing, Payments and Cancellations Policy.

10.3 Termination by Progresus

Progresus may terminate this License immediately if Licensee:

  • Breaches any term of this License.
  • Fails to pay the applicable fees according to the agreed terms.
  • Infringes Progresus' intellectual property rights
  • Uses the Software in a manner that causes damage to Progresus or third parties.

10.4 Effects of Termination.

Upon termination of this License:

  • All rights granted to Licensee cease immediately.
  • Licensee must cease all use of the Software.
  • Licensee must destroy any copies of the Documentation in Licensee's possession.
  • Access to the Software will be disabled
  • Licensee's data will be handled in accordance with the Data Retention and Disposal Policy.

10.5 Survival

The provisions relating to intellectual property, limitation of liability, confidentiality and any other provisions which by their nature should survive shall survive termination of this License.


11. Compliance and Audit

11.1 Compliance

Licensee is responsible for ensuring that use of the Software complies with the terms of this License, including the number of authorized users.

11.2 Verification

Progresus may verify Licensee's compliance by:

  • Monitoring the use of the Software
  • Reviewing access logs
  • Requesting information on the number of users

11.3 Non-Compliance of Limits

If it is detected that Licensee exceeds the number of authorized users:

  • Progresus shall notify the Licensee.
  • The Licensee must regularize the situation by purchasing additional licenses.
  • Progresus may bill retroactively for the excess usage.

12. General Provisions

12.1 Entire Agreement

This License, together with the Terms and Conditions of Service and the policies incorporated by reference, constitutes the entire agreement between the parties with respect to the use of the Software.

12.2 Modifications

Progresus may modify the terms of this License upon reasonable notice to Licensee. Continued use of the Software after the modification constitutes acceptance of the new terms.

12.3 Assignment

Licensee may not assign or transfer this License or any of the rights granted without the prior written consent of Progresus.

12.4 Applicable Law

This License shall be governed by and construed in accordance with the laws of the Republic of Colombia.

12.5 Severability

If any provision of this License is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
